All Test Advisors must agree to the terms and conditions within the Test Advisor Confidentiality and Non-Disclosure Agreement. This Test Advisor Confidentiality and Non-Disclosure Agreement is between ReviewNet Corporation ("RNC") and You ("Test Advisor" or "Expert"), collectively the "Parties". 1. Introduction. RNC is generally in the business of designing, developing and producing technologies, products and services in the field of evaluation and testing of professionals in a variety of fields. RNC has invented and continues to develop certain products, methods, or techniques relating to its business. RNC may, without obligation, permit Test Advisor to visit its premises and/or view and/or work with its products and those under development. To protect RNC’s proprietary interests, the Parties hereby enter into this Confidentiality and Non-Disclosure Agreement and the disclosure of the Confidential Information by RNC to Test Advisor is made subject to the terms and conditions contained herein. 2. Services Performed by Test Advisor: RNC hereby engages Test Advisor to provide feedback on technical assessments. The Test Advisor may also be engaged in additional projects such as technical interviewing and technical consulting for RNC’s clients, and such activities shall be covered under other agreements between Test Advisor and RNC. 3. Agreement of Confidentiality. Any and all information, including but not limited to, all information, data, concepts, drawings, documents, proposals, specifications and works, software, as well as samples, specimens, copyright, patent and/or trademark applications or registrations, trade secrets, know-how, and any other proprietary information relating to development, testing, creating and/or commercializing products or services of RNC is considered confidential and proprietary to RNC (the “Confidential Information”). By definition, the term Confidential Information as used herein shall also include any and all information discussed between RNC and Test Advisor. Test Advisor hereby agrees not to disclose to others, either directly or through any third party, Confidential Information, regardless of the manner in which the Confidential Information was communicated to or received by the Test Advisor, whether oral, written, digital or otherwise, and regardless of whether the Confidential Information was marked as confidential or proprietary. 4. Proprietary Rights. Any and all Confidential Information disclosed by RNC to Test Advisor is proprietary to, the exclusive property of and owned in full by RNC. Test Advisor hereby agrees not to use, either directly or through any third party, said information in any manner. Test Advisor shall not attempt to reverse engineer, decompile, disassemble or in any way attempt to duplicate, either directly or through a third party, the Confidential Information. Test Advisor shall not design, create or otherwise replicate, or cause to be designed, created or otherwise replicated, either directly or through any third party, products substantially similar to the products of RNC, or the products under development by RNC or in any way relates to Confidential Information. Any and all information disclosed by Test Advisor to RNC shall be considered free from confidential and/or proprietary status and restrictions, unless otherwise specified in a writing signed by the Parties. 5. Warranties. Test Advisor warrants that he has the right to enter into this Agreement, and that Test Advisor is bound by the terms and conditions of this Agreement. Test Advisor agrees to defend, indemnify and hold RNC harmless from and against any and all loss, liability, claims, demands and causes of action of every kind and character, without limitation, arising in favor of any third party on account of any deficiencies of the above warranty. 6. General Provisions. Test Advisor shall use its best efforts to protect the Confidential Information. Test Advisor shall take reasonable security precautions, at least as great as the precautions it takes to protect is own confidential and proprietary information, to protect the Confidential Information. The term, Confidential Information, shall not include: a. information that, as of the time of receipt by Test Advisor, is in the public domain or subsequently enters the public domain without fault of the Test Advisor; b. information that, as of the time of receipt by the Test Advisor, is already known to or in the possession of Test Advisor provided that Test Advisor, within ten (10) days of disclosure by RNC, provides written verifiable documentation that such information was already known to or in the possession of Test Advisor prior to its disclosure by RNC, c. information that, at any time is received in good faith by Test Advisor from a third party that was lawfully in possession of the information and had the right to disclose the same; and, d. information that is disclosed to third parties by RNC on a non-confidential basis. Neither the execution or delivery of this Agreement, nor the furnishing of Confidential Information by RNC, shall be construed as granting to Test Advisor, either expressly, by implication, estoppel, or otherwise, a license under any invention, trademark, trade secret or copyright, currently or hereafter owned or controlled by RNC. Test Advisor shall return to RNC originals and all copies of Confidential Information furnished to it when requested by RNC. Test Advisor shall not make copies of the Confidential Information. Due to the unique nature of the Confidential Information, Test Advisor acknowledges and agrees that RNC may suffer irreparable harm in the event that Test Advisor fails to comply with the provisions of this Agreement. Test Advisor agrees that RNC, in addition to any other remedies available to it at law or in equity, and without waiving any other rights or remedies, shall be entitled to injunctive or equitable relief to enforce the terms of this Agreement. This Agreement shall be governed by the applicable laws of the Commonwealth of Pennsylvania. The Parties hereby consent to jurisdiction and venue in a court of competent jurisdiction in the Commonwealth of Pennsylvania. None of the provisions of this Agreement shall be deemed waived by any act or acquiescence on the part of RNC, its agents, or employees, but only by an instrument in writing signed by an authorized officer of RNC. No waiver of any provision of this Agreement shall constitute a waiver of any other provision(s) or of the same provision on another occasion. If RNC employs attorneys to enforce any rights arising out of or relating to this Agreement, it shall be entitled to recover reasonable attorneys’ fees. This Agreement will inure to the benefit of and be binding upon the Parties, their successors and assigns. If any provision of this Agreement shall be held by a court of competent jurisdiction to be illegal, invalid or unenforceable, the remaining provisions shall remain in full force and effect. All obligations created by this Agreement shall survive change or termination of the Parties’ business relationship. This Agreement contains the full and complete understanding of the Parties with respect to the subject matter hereof.
